CONTENT LICENSE AGREEMENT
Content License Agreement This Content License Agreement (“Agreement”) is made as of 5/14/2003 (“Effective Date”) by and between The American National Red Cross, a federally-chartered non-profit corporation headquartered at 2025 E St., N.W., Washington, D.C. 20006, (“Red Cross”) and Professional Development Associates, a corporation headquartered at 3707 W. Maple, Suite 300, Bloomfield Hills, MI 48301, (“Licensor”) for the purpose of setting forth the terms and conditions under which Licensor will grant Red Cross a license to access and use Licensor’s content and software tutorials on the Safety Serve website, www.safetyserve.com/redcross. 1. License Grant: Licensor grants Red Cross (the "End User"), subject to the terms and conditions of this Agreement, a NON-ASSIGNABLE, NON-TRANSFERABLE, and non-exclusive license to use content and software tutorials on the website, www.safetyserve.com/redcross, including all enhancements thereof (“Content”). For the avoidance of doubt, “End User” shall include the national headquarters of the Red Cross, its chartered units, and all employees and volunteers of the Red Cross. 2. Scope of Use: This Agreement authorizes the End User (each with a unique, NON-TRANSFERABLE, NON-ASSIGNABLE access code, login ID and password) to access and use the Content for its own, internal, non-commercial use. In the event that Red Cross believes that one or more of its access codes, login IDs or passwords is/are being misused, Red Cross agrees that it will promptly notify Licensor of such misuse. Except for rights expressly granted herein, no right or license is granted to the End User under this Agreement by implication or otherwise. Licensor shall ensure that the Application (as defined in Section 3 below) is and will be capable of operating fully and correctly on the hardware and operating systems of the Red Cross for as long as Red Cross desires to license the Application from Licensor. During the term of this Agreement, Licensor shall provide to Red Cross, without additional charge and during normal business hours, telephone consultation in connection with Red Cross’ use and operation of the Application or any problems therewith. 3. Title: Title to the Content and any third party software embedded within such Content (“Application”) is subject to this Agreement, all intellectual property rights and materials supplied to the End User under this Agreement shall remain the sole property of Licensor (its successors and assigns) or its suppliers. End User acknowledges and agrees that the Content is protected by United States copyright laws and international treaties. 4. Warranty: Licensor hereby represents and warrants to Red Cross that (i) Licensor is the owner of the Application or otherwise has the right to grant to Red Cross the license in this Agreement without violating any rights of any third party, and there is currently no actual or threatened suit by any such third party based on an alleged violation of such right by Licensor, (ii) the Application and each component thereof does not, and will not contain any pre-programmed devices, including but not limited to viruses, worms, bug, Trojan horses or other similar devices, that will cause the Application or any component thereof to be erased or become inoperable or incapable of processing or affect operations of other systems, and (iii) the Application will be available and in good working order, free from defects in material and workmanship and will not any way impair Red Cross’ use of the Application. In the event that the Application does not meet the above representations and warranties, Licensor shall promptly notify Red Cross of such nonconformity, and Licensee shall promptly provide at no charge the necessary software and services required to attain the standards set forth in the representations and warranties above. 5. Indemnification: Licensor shall indemnify, defend and hold Red Cross harmless, including its chartered units, and its governors, directors, officers, employees, agents and volunteers from and against any and all suits, claims, demands, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating in any way to an actual or alleged claim that the Application used hereunder infringes or violates any patents, copyrights, trade secrets, license or other property rights of any third party. Red Cross may, in its discretion and at Licensor’s expense, assist in such defense if it so chooses. Licensor shall obtain Red Cross’ written consent before Licensor agrees to any settlement intended to bind the Red Cross. 6. Term and Termination: This Agreement is effective upon the date of execution until terminated. 7. Most Favored Customer: Licensor agrees to treat Red Cross as its most favored customer. Licensor represents that all of the prices, warranties, benefits and other terms being provided hereunder are equivalent to or better than the terms being offered by Licensor to its current customers. If Licensor enters into an agreement with any other customer providing such customer with more favorable terms, including price, then this Agreement will be deemed appropriately amended to provide such terms to Red Cross. Licensor shall promptly provide to Red Cross with any refund or credits thereby created. 8. Publicity: Licensor shall not use Red Cross’ name, trademarks or service marks for any purpose, including without limitation, for publicity without Red Cross’ prior written consent. 9. Compliance with Laws: Notwithstanding the laws of any other jurisdiction, Licensee shall use and treat the Content in accordance with all applicable laws, rules, and regulations, including, without limitation, the Export Administration Act and associated regulations, and shall obtain all licenses required in connection with the use and treatment of the Content. To the extent applicable, if the Content or any software code (together, "Software") and any other materials delivered in connection with this Agreement, including documentation, is acquired by or on behalf of a unit or agency of the United States government, the government agrees that such Software or documentation is "commercial computer software" or "commercial computer software documentation" and that, absent a written agreement to the contrary, the government's right with respect to such Software or documentation are limited by the terms of this Agreement, pursuant to FAR §12.212(a) and/or DFARS §227.7202-1(a), as applicable. 10. Miscellaneous: This Agreement contains the entire understandings of the parties, and supersedes all prior agreements or understandings related to the subject matter herein, oral or written. Except as specifically set forth herein, this Agreement may be amended or terminated only by a written instrument executed by an authorized officer of Licensor and Red Cross. No course of conduct, action or inaction on behalf of Licensor or Red Cross shall be deemed to be a waiver of any of Licensor's or Red Cross’ rights, respectively. If any term(s), provision(s), covenant(s), or condition(s) of this Agreement is (are) held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions shall remain in full force and effect to the extent that it is practicable and in no way shall be affected, impaired, or invalidated to the extent that it is practicable. Neither party shall assign this Agreement without the other party’s prior written consent. 11. This Agreement shall be construed and enforced in accordance with the laws of the Commonwealth of Virginia, excluding conflict of law principles, and the laws of the United States, excluding the United Nations Convention on the International Sale of Goods. Both parties consent to the service of process and to the non-exclusive jurisdiction of the United States District Court for the District of Columbia. This Agreement is agreed to and executed as of the Effective Date.
